Welcome to VISO ("we," "our," or "us"). These Terms of Service ("Terms") govern your use of our website at visosight.com and our eyewear manufacturing services. By accessing our website or engaging our services, you agree to be bound by these Terms.

VISO is a China-based eyewear manufacturer specializing in optical frames, sunglasses frames, lenses, and related accessories for B2B clients worldwide. We provide OEM/ODM services and wholesale solutions to retailers, brands, and distributors globally.

Manufacturing Services: We provide comprehensive eyewear manufacturing including optical frames, sunglasses frames, optical lenses, sunglass lenses, and eyewear accessories.

OEM/ODM Services: Custom manufacturing services from design concept to finished products, including private label and white label solutions.

Quality Assurance: All products comply with international standards including ISO, CE, and FDA certifications where applicable.

Logistics Support: We provide shipping solutions via sea freight, air freight, and land transportation with optimized packaging.

Our services are exclusively available to business entities, including:

• Registered companies and corporations
• Retail chains and optical chains
• Eyewear brands and fashion houses
• Online retailers and distributors
• Authorized resellers and wholesalers

You must be at least 18 years old and have the legal authority to enter into contracts on behalf of your business entity.

Quotations: All prices are provided as quotations and are subject to confirmation. Final pricing depends on specifications, quantities, and customization requirements.

Minimum Order Quantities (MOQ): Each product category has specific MOQ requirements which will be communicated during the quotation process.

Payment Terms: Payment terms are typically 30-50% deposit upon order confirmation, with the balance due before shipment. Specific terms will be outlined in individual contracts.

Currency: All transactions are conducted in USD unless otherwise agreed upon in writing.

Quality Standards: All products undergo rigorous quality control processes and meet international standards. We maintain ISO certification and comply with relevant safety regulations.

Specifications: Products will be manufactured according to agreed specifications. Any deviations must be approved in writing before production.

Samples: Sample approval is required before mass production. Approved samples serve as the quality reference for production.

Inspection: Pre-shipment inspection reports and photos are provided for all orders.

Delivery Terms: We offer various shipping terms including FOB, CIF, and DDP. Specific terms will be agreed upon in individual contracts.

Shipping Methods: Sea freight, air freight, and land transportation options are available based on urgency and cost requirements.

Delivery Time: Production and delivery times vary based on product complexity and order quantity. Estimated timelines will be provided with quotations.

Risk Transfer: Risk transfers according to agreed Incoterms. Insurance coverage is available upon request.

Customer Designs: We respect and protect customer intellectual property. All customer designs, specifications, and proprietary information are treated confidentially.

VISO Property: Our manufacturing processes, techniques, and proprietary designs remain our intellectual property.

Third-Party Rights: Customers are responsible for ensuring their designs do not infringe on third-party intellectual property rights.

Confidentiality: We maintain strict confidentiality regarding all customer information and business relationships.

Product Warranty: We warrant that products will conform to agreed specifications and be free from material defects for a period of 12 months from delivery date.

Manufacturing Defects: We will replace or repair products with manufacturing defects at no additional cost, provided notice is given within the warranty period.

Limitation: Our liability is limited to the replacement or repair of defective products. We are not liable for consequential, incidental, or special damages.

Customer Responsibility: Customers are responsible for proper handling, storage, and use of products after delivery.

To the maximum extent permitted by law, VISO's total liability for any claim arising from these Terms or our services shall not exceed the total amount paid by the customer for the specific order giving rise to the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

We shall not be liable for any delay or failure to perform due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, labor disputes, material shortages, or transportation delays.

In such events, we will promptly notify affected customers and work to minimize disruption to orders.

Governing Law: These Terms are governed by the laws of the People's Republic of China, without regard to conflict of law principles.

Dispute Resolution: Any disputes arising from these Terms or our business relationship shall be resolved through good faith negotiation. If negotiation fails, disputes shall be submitted to arbitration in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC).

Jurisdiction: For any legal proceedings, the courts of China shall have exclusive jurisdiction.

We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website with a new "Last updated" date.

Continued use of our services after modifications constitutes acceptance of the updated Terms.

For significant changes affecting existing contracts, we will provide reasonable notice to affected customers.

Either party may terminate the business relationship with reasonable notice, subject to completion of any outstanding orders.

We reserve the right to immediately suspend or terminate services if customers breach these Terms or engage in fraudulent activities.

Upon termination, all outstanding payments become immediately due, and confidentiality obligations continue to apply.
